All services are provided subject to these Terms and any additional agreements or statements of work executed between the parties.

4. Client Responsibilities

4.1 Information and Materials

You agree to:

• Provide accurate, complete, and current information
• Supply all necessary materials, content, and information in a timely manner
• Ensure all provided materials are free from third-party claims
• Obtain necessary permissions for any third-party content

4.2 Payment Terms

Payment terms are as follows:

• Payment is due according to the agreed schedule in your project agreement
• Late payments may incur additional charges as specified in your agreement
• All prices are exclusive of applicable taxes unless otherwise stated
• Refunds are subject to our refund policy as outlined in your project agreement

4.3 Project Cooperation

You agree to:

• Respond to requests for feedback and approval within agreed timeframes
• Provide constructive feedback to facilitate project completion
• Notify us immediately of any changes to project requirements
• Maintain confidentiality of any proprietary information shared

5. Intellectual Property Rights

5.1 Client Content

You retain ownership of all content, materials, and intellectual property you provide to us. By providing such content, you grant us a non-exclusive, royalty-free license to use, modify, and display such content solely for the purpose of providing our Services.

5.2 Work Product

Upon full payment of all fees, you will own the final deliverables created specifically for your project. However, we retain the right to use general methodologies, techniques, and know-how developed during the project.

5.3 Our Intellectual Property

All pre-existing intellectual property, including but not limited to our methodologies, software, templates, and proprietary tools, remains our exclusive property.

5.4 Third-Party Materials

Any third-party materials, including fonts, images, or software, used in your project are subject to their respective licenses. You are responsible for ensuring compliance with such licenses.

6. Data Protection and Privacy

We are committed to protecting your privacy and personal information. Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

As part of our business operations, we may store your information in our Customer Relationship Management (CRM) system for the purposes of:

• Managing our business relationship
• Providing ongoing support and services
• Communicating about projects and services
• Complying with legal and regulatory requirements

7. Project Management and Delivery

7.1 Project Timeline

Project timelines are estimates based on the information provided at the time of agreement. Delays caused by late feedback, changes in requirements, or other factors beyond our control may extend the timeline.

7.2 Revisions and Changes

Revisions and changes to the project scope may incur additional charges. Any changes must be agreed upon in writing and may affect the project timeline and cost.

7.3 Delivery and Acceptance

Deliverables will be provided according to the agreed schedule. You have 14 days from delivery to review and request revisions. After this period, the work will be considered accepted unless otherwise agreed.

8. Payment and Billing

8.1 Payment Methods

We accept payment through various methods as specified in your project agreement, including:

• Bank transfers
• Credit card payments
• Digital payment platforms
• Other agreed-upon methods

8.2 Late Payments

Late payments may result in project suspension and may incur additional charges. We reserve the right to suspend services for accounts with outstanding balances.

8.3 Refunds

Refund policies are specific to each project and are outlined in your project agreement. Generally, refunds are not provided for completed work or after project acceptance.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KANKA TECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

Our total liability for any claims arising out of or relating to these Terms or the Services shall not exceed the total amount paid by you for the specific project giving rise to the claim.

Some jurisdictions do not allow the limitation of liability, so these limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Kanka Tech and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you provide to us

11. Termination

11.1 Termination by Client

You may terminate our services at any time with written notice. However, you remain responsible for all fees incurred up to the termination date.

11.2 Termination by Kanka Tech

We may terminate or suspend your access to our Services immediately, without prior notice, for any reason, including if you breach these Terms.

11.3 Effect of Termination

Upon termination, your right to use the Services will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. You acknowledge that there may be interruptions in service due to maintenance, updates, or other factors beyond our control.

13. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date.

Your continued use of the Services after such changes constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will remain in full force and effect.

These Terms, together with our Privacy Policy and any project-specific agreements, constitute the entire agreement between you and Kanka Tech regarding the use of our Services.
